1. Acceptance of Terms

By installing, accessing, or using the SESEO Shop Spy Chrome Extension ("Extension"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the Extension.

These Terms constitute a legal agreement between you and ZF Ventures LLC, a Delaware limited liability company ("Company," "we," "us," or "our").

2. Description of Service

SESEO Shop Spy is a Chrome Extension that provides competitive intelligence and analytical tools for Shopify stores. The Extension allows users to:

View hidden store data (product counts, collections, variants, etc.)
Analyze blog content and publishing frequency
Export data to CSV format
Detect store themes and apps
Extract design elements and color palettes

3. Subscription and Payment

The Extension is available under two pricing models:

Monthly Subscription: $5 USD per month, billed monthly
Lifetime License: $75 USD one-time payment

Important Note on "Lifetime" Access: The Lifetime License provides access to the Extension for the duration of the project's operational life. In the event that Shopify implements significant breaking changes to their platform that render the Extension non-functional, and if such changes cannot be reasonably addressed through updates, the Company reserves the right to discontinue the service. We will make reasonable efforts to maintain functionality and adapt to platform changes.

All payments are processed securely through Stripe. By subscribing or purchasing a license, you authorize us to charge your payment method for the applicable fees.

4. Refund Policy

Monthly Subscriptions: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

Lifetime License: Due to the nature of digital products and immediate access upon purchase, lifetime licenses are generally non-refundable. However, we will consider refund requests made within 7 days of purchase on a case-by-case basis if you have experienced technical issues that we cannot resolve.

5. Acceptable Use

You agree to use the Extension only for lawful purposes and in compliance with these Terms. You shall NOT:

Use the Extension to violate any applicable laws or regulations
Attempt to reverse engineer, decompile, or disassemble the Extension
Share your license or account credentials with others
Use the Extension to harass, abuse, or harm another person or entity
Use automated systems or bots to access the Extension beyond normal use
Resell, redistribute, or sublicense the Extension
Use the Extension in any way that could damage, disable, or impair our services

6. Intellectual Property

The Extension, including all code, features, functionality, designs, and content, is owned by ZF Ventures LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

Your license to use the Extension does not grant you any ownership rights to the Extension or its underlying technology.

7. Third-Party Data and Services

The Extension accesses publicly available information from Shopify stores. We do not guarantee the accuracy, completeness, or reliability of any data obtained through the Extension. The information is provided "as is" for your research and competitive analysis purposes.

You acknowledge that:

Data accessed through the Extension comes from third-party Shopify stores
You are responsible for how you use and interpret this data
You should verify critical information independently

8. Privacy and Data

Your use of the Extension is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Extension operates locally on your device and does not collect or transmit browsing data or usage information. Please review our Privacy Policy for complete details.

9. Disclaimer of Warranties

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Extension will be uninterrupted, timely, secure, or error-free
The results obtained from using the Extension will be accurate or reliable
Any errors in the Extension will be corrected
The Extension will be compatible with all devices, browsers, or operating systems

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZF VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the Extension
Any unauthorized access to or use of our servers
Any bugs, viruses, or other harmful code transmitted through the Extension
Any errors or omissions in the data provided by the Extension

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE EXTENSION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Extension (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Extension.

We may also update these Terms from time to time. Continued use of the Extension after changes are posted constitutes acceptance of the modified Terms.

12. Termination

We may terminate or suspend your access to the Extension immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination:

Your right to use the Extension will immediately cease
You must uninstall and delete all copies of the Extension
Monthly subscriptions will cease billing
Lifetime licenses may be revoked in cases of abuse or violation

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Extension shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZF Ventures LLC regarding the Extension and supersede all prior agreements and understandings.
